These Terms of Service (the "Terms") govern your use of Helve, the API, dashboard, MCP server, and related services (the "Service") operated by [COMPANY LEGAL NAME], a [STATE] [ENTITY TYPE] ("Helve", "we", "us"). By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to it.

1. The Service

Helve provides a single API and key that routes requests for web search, content extraction, transcription, and other tools to third-party providers (each a "Provider"), and returns their results in a unified format. We may add, change, or remove Providers, tools, parameters, and routing behaviour at any time. Where a Provider cannot honour a parameter we tell you in the response rather than failing silently, but results are ultimately produced by Providers and we do not control their content, accuracy, or availability.

2. Accounts and API keys

You must provide accurate account information and keep it current. You are responsible for all activity under your account and API keys, whether or not you authorized it. Keep keys confidential, do not embed them in client-side or public code, and revoke a key immediately if you believe it has been exposed. We may suspend keys or accounts that appear compromised.

3. Credits and payment

The Service is metered. Usage is charged against a prepaid credit balance in US dollars. You add credits by purchasing a credit pack through Stripe, our payment processor; a service fee is added to each top-up and shown before you pay. We may grant promotional credits at our discretion and may withdraw unused promotional credits at any time. Each request is priced according to the tool, Provider, and options used; the current pricing is shown in the dashboard and documentation and may change with notice. Requests are refused when your balance is insufficient.

Purchased credits are non-refundable except where required by law or where we choose, at our sole discretion, to refund them. Unused purchased credits remain available while your account is in good standing. We do not store your card details; Stripe does, under its own terms.

You agree not to use the Service to:

Provider terms apply to the results they produce. We will tell you which Provider served a request so you can comply with them. We may suspend or terminate accounts that breach this section without notice.

5. Your content and results

You retain all rights to the queries, URLs, audio, and other inputs you send ("Inputs") and, as between you and us, to the results returned to you. You grant us a limited licence to process Inputs solely to provide the Service, including forwarding them to Providers. Results may include third-party material; you are responsible for how you use it.

6. Availability and changes

We aim for high availability but the Service is provided without an uptime commitment unless we agree one in writing. We may modify or discontinue features, and will give reasonable notice of changes that break the API where practical. Beta or experimental features are provided as-is and may change without notice.

7. Intellectual property

The Service, including its software, schemas, documentation, and branding, is owned by Helve and its licensors. These Terms do not grant you any right to use the Helve name or marks. You may use our documentation and SDKs to integrate with the Service. Feedback you give us may be used without obligation to you.

8. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT RESULTS WILL BE ACCURATE, COMPLETE, OR UNINTERRUPTED.

9. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, HELVE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THAT PERIOD OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnity

You will defend and indemnify Helve against claims, damages, and expenses (including reasonable legal fees) arising from your Inputs, your use of results, or your breach of these Terms or applicable law.

11. Termination

You may close your account at any time from the dashboard or by contacting us. We may suspend or terminate your access for breach of these Terms, for legal or security reasons, or on thirty (30) days' notice for any reason. On termination your API keys stop working and, except as required by law, unused credits are forfeited where termination is for breach. Sections that by their nature should survive termination do.

12. Changes to these Terms

We may update these Terms. Material changes will be announced by email or in the dashboard at least fourteen (14) days before they take effect. Continued use after that date is acceptance of the new Terms.

13. Governing law and disputes

These Terms are governed by the laws of the State of [STATE], excluding its conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in [COUNTY, STATE], and you consent to their jurisdiction. Nothing in this section prevents either party seeking injunctive relief in any court.

14. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Helve about the Service. If any provision is unenforceable the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver.
